1. Acceptance of Terms

By accessing or using FieldStaff Pro ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you ("Customer") and FieldStaff Pro ("Company," "we," "us," or "our").

2. Subscription Plans & Billing

The Service is offered on a subscription basis. By selecting a subscription plan, you authorize us to charge the applicable fees to your payment method on a recurring basis.

All prices are in USD and exclusive of applicable taxes. We reserve the right to change pricing with 30 days' written notice to active subscribers.

3. Founder's Rate — 24-Month Price Lock

Customers who subscribe within 30 days of their account creation date are eligible for the "Founder's Rate," which locks the then-current subscription price for a period of 24 consecutive months from the date of first payment.

• The Founder's Rate applies to the specific plan tier selected at enrollment. Upgrading to a higher tier resets the rate to the then-current pricing for that tier.
• After the 24-month lock period expires, the subscription automatically renews at the then-current standard rate, with 30 days' advance notice provided.
• The Founder's Rate is non-transferable and applies only to the original subscribing account.
• Early cancellation of a Founder's Rate subscription forfeits the locked rate; reinstatement is not guaranteed at the original locked price.

4. Annual Subscription Commitment

Annual subscriptions represent a 12-month minimum commitment. By selecting an annual plan, you agree to the following terms:

4.1 Billing

Annual subscriptions are billed in full at the start of the subscription period or, where offered, as 12 equal monthly installments. Regardless of billing frequency, the full 12-month term is a binding commitment.

4.2 Early Termination Fee

If you cancel an annual subscription before the end of the 12-month commitment period, an early termination fee will be assessed equal to the number of remaining months in the commitment multiplied by the applicable monthly rate for your plan tier. This fee is due and payable immediately upon cancellation.

4.3 No Refunds on Prepaid Annual Plans

Annual subscriptions paid in full upfront are non-refundable. Upon cancellation, access to the Service continues through the end of the prepaid period; no partial refunds will be issued for unused months.

5. White-Glove Setup Service

The White-Glove Setup Service ("Setup Service") is an optional professional services add-on priced at $3,500 USD as a one-time fee.

5.1 Annual Plan Waiver

The Setup Service fee is fully waived for customers who simultaneously subscribe to or upgrade to an annual subscription plan. The waiver is contingent upon maintaining the annual subscription for the full 12-month commitment period.

5.2 Waiver Forfeiture

If a customer who received the Setup Service fee waiver cancels their annual subscription before completing the full 12-month commitment, the waived Setup Service fee of $3,500 becomes immediately due and payable, in addition to any applicable early termination fee under Section 4.2. The total amount owed will be charged to the payment method on file.

5.3 Scope of Setup Service

The Setup Service includes: (a) import of up to 3 pricing sheets in CSV or Excel format; (b) upload of company branding assets (logo, colors); (c) configuration of takeoff schedule and cost codes; (d) one 60-minute admin training session via video call; and (e) 30 days of priority onboarding support. Additional services beyond this scope are subject to separate agreement.

6. Free Trial

New accounts are eligible for a 14-day free trial of the Professional plan. No credit card is required to begin the trial. At the end of the trial period, continued access requires selection of a paid subscription plan. Trial accounts that do not convert to a paid plan will have their data retained for 30 days before permanent deletion.

7. Cancellation Policy

Monthly subscribers may cancel at any time. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued. Annual subscribers are subject to the early termination provisions in Section 4.

To cancel, log in to your account, navigate to Settings → Subscription, and follow the cancellation instructions. Cancellation requests submitted via email are not binding until confirmed in writing by FieldStaff Pro.

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to store, transmit, or process any content that is illegal, harmful, or infringes the intellectual property rights of others. We reserve the right to suspend or terminate accounts that violate these Terms without notice.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, store, and process data as described in the Privacy Policy. All data is encrypted in transit and at rest. We do not sell your data to third parties.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FieldStaff Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability to you for any claim arising under these Terms shall not exceed the amounts paid by you to us in the 12 months preceding the claim.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
